Say Wow Ltd – Affiliate Terms & Conditions (the ‘Agreement’)

Introduction

1.1 Say Wow Ltd (‘SayWOW’, ‘Promoter’, ‘our(s)’) promotes travel and leisure products, and operates competitions resulting in the allocation of prizes in accordance with the terms and conditions on the website saywow.co.uk (the ‘Website’) – (the ‘Competition(s)’).

1.2 Competitions are open to all persons aged 18 and over and residing in the UK (‘User(s)’), except the Promoter’s employees or members of their immediate family, agents or any other person who is connected with the creation or administration of our Competitions. Competition winners may be asked for proof of age and address before prize fulfilment.

1.3 Affiliate Program (‘Wow+’, ‘WowPlus’) rewards Users and independent offline, online, social media marketers (‘Affiliate(s)’) for introducing new Users to the Website (“Program”).

1.4 Not a lottery – winning requires skill and judgement, making more people want to play. Affiliates can promote that Users will always get at least 1 FREE entry every week into one of the Competitions.

1.5 Playing online is easy – Users only need to open an account to play in all Website competitions, giving them the chance to win holidays and leisure prizes.

1.6 Guaranteed winners of Competitions are independently determined.

Commissions and Payments

2.1 Commission at the % rate agreed with Affiliate, is payable on all qualifying purchases by Users introduced by Affiliates. Commission Term is defined as the period from when referred users are registered during which commission will be payable.

2.2 Details of Affiliates’ performance with respective commission rates are detailed in Affiliates’ dashboard.

2.3 Commissions and performance bonuses are applicable on all purchases by Users introduced by Affiliate(s), of competition entries, calculated after the deduction of prize funds, certain fixed operating costs and any applicable taxes eg. VAT, RGD (‘Net Gaming Revenue’ or ‘NGR’).

2.4 If Affiliate is registered for VAT, commission paid will include VAT. If Affiliate is not registered for VAT, commission paid will exclude VAT.

2.5 Commissions and performance bonuses are paid monthly by PayPal, bank transfer or Account Funds by the 14th of the month following the sale. Affiliates must enter their preferred payment method and if applicable, their PayPal email or Bank account details in their Account Dashboard > Settings in order to receive payment. Commission payment threshold is £10 (‘Minimum Commission’). If Affiliate’s qualifying account balance is below Minimum Commission at end of month, balance will remain on Affiliate’s account until Minimum Commission is reached.

2.6 Self-billing. Affiliate agrees; a) that SayWOW will raise self-billing invoices for all commissions and payments for supplies by them b) not to raise VAT invoices for supplies covered by this agreement c) to accept each self-billed invoice created by SayWOW for supplies made by them d) that self-billing will commence from the date they join the Program and only expire if and when they leave the Program e) to notify SayWOW if they cease to be VAT registered, transfer business as a going concern or become registered under another VAT number.

2.7 Affiliate accounts which are either inactive, or fail to reach Minimum Commission within a 6 month period, may be deemed to be abandoned and may be removed from the Program without notice. All commission payments terminate when an Affiliate has left the Program.

Marketing Policy

3.1 SayWOW operates a strict policy on PPC Activity. Unless specifically agreed in writing with SayWOW, Affiliates must NOT bid on or use the following keywords or other associated brand names for PPC purposes on Google, Bing, Yahoo or any other search engines:

Brand: SayWOW
Extended brand: e.g. SayWOW, SayWOW.com, saywow.co.uk, SayWOW Vouchers, saywow.co.uk Vouchers, SayWOW.com Vouchers, SayWOW Voucher codes
Misspellings and derivatives: e.g. SayWOW .co.uk, SayWOW .com, Say WOW, saywow, Saywow etc

3.2 In order to avoid any broad matching issues, Affiliates should add SayWOW as a negative keyword in all paid search activity. Affiliates should also not use the SayWOW trademark in any paid search activity, whether this is in ad text, title or display URLs. Please do not use “TM” or the word “Official” in your advertisements.

3.3 SayWOW also operates a strict policy on any paid social media advertising (Facebook, Instagram, Twitter etc) and affiliates must NOT set up paid ads to promote the SayWOW brand or use SayWOW keywords (as detailed in the examples above). Organic posts on social pages are absolutely fine.

3.4 Affiliates are not allowed to set up websites to use in conjunction with their own SayWOW accounts. Any Affiliate who is found to be using the Program to earn commission on their own transactions will have their SayWOW accounts closed and will also be removed from the Program.

Email & Content Policy

4.1 Affiliates are not permitted to send any unsolicited email (‘spam’) under this Program. If Affiliates wish to send out an email on behalf of SayWOW to their database, they must seek prior approval from SayWOW.

4.2 Affiliates should ensure their websites, social media and other digital activity in no way passes off or impersonates SayWOW. Failure to comply with these Terms and Conditions could result in removal from the programme and the retrieval of commissions.

Term & Termination

5.1 Either party has the right to terminate: Agreement by or with Affiliate, or operation of Program, immediately and without prior notice.

5.2 If; Affiliate terminates Agreement with SayWOW, or SayWOW terminates Agreement with Affiliate, or SayWOW ceases operation of Program, any balance greater than Minimum Commission will be paid to Affiliate within 60 days of termination. Balances less than Minimum Commission will be forfeited.

5.3 SayWOW will not be obligated for further payment of commission after either termination of; Agreement or operation of Program, for any past or future User transactions.
